Overview
The Legal Documents course is designed for the limited partner looking for an in-depth understanding of material legal documents. Participants will learn about the complex created by legal documents, key economic considerations and other critical aspects that relate to the investment process of a legal function.
This live, faculty-led program combines lecture-based learning with interactive networking and group work elements, featuring custom case studies designed uniquely for LPs by LPs.
Who Should Attend?
This program is part of the ILPA Institute’s Intensive series of courses, which means this program is designed for the limited partner with more than three years of experience in private equity or has completed the comprehensive private equity training and those in legal roles.

Key Learning Objectives
- Learn about the private equity landscape from a legal perspective and how to differentiate core legal documents and typical legal structures
- Apply an in-depth understanding of the economic and non-economic terms in limited partnership agreements
- Identify issues that may arise in associated material agreements and use reasonableness checks, side letters and legal opinions to address them
- Analyze general partner and advisory/management agreements to understand impact on the limited partner economics
- Learn how to engage in GP negotiations with an in-class exercise to apply key course takeaways in real-time
PROGRAM LEVEL: Advanced
PRE-REQUISITE: Three or more years of experience directly managing and monitoring a private equity program. As the role of legal counsel does not traditionally include directly managing and monitoring a private equity program, internal legal counsel need no pre-requisites.
PRE-READING: Reading materials will be sent to participants prior to the start of the session. These will include 2-3 hours of course preparation and required reading as well as suggested readings.
