Emerging Manager Toolkit
The Institutional Limited Partners Association is pleased to present our Emerging Manager Toolkit. The Toolkit is a comprehensive package of documents designed for private equity managers that want to start fundraising quickly and attract qualified Limited Partner capital from ILPA members.
Overview
The documents in the Toolkit include those that can be utilized as a starting point in the fund formation process, including a subscription agreement and limited partnership agreement, and tailored to the specifics of a particular fund strategy and approach. There are also further templates and tools that can assist managers during the operation of their fund during the investment period, including a capital call and distribution notice, a reporting template for fees and expenses, and guidelines on the use of subscription lines. Fundamentally, the Toolkit is designed to maximize and expand the partnership between LPs and GPs throughout the fund’s life and build trust, transparency and alignment for the long-term.
The toolkit consists of the following resources:
- Model LPA
- Model Subscription Agreement
- Guidance on Subscription Lines of Credit and Alignment of Interests
- Capital Call & Distribution Template
- Quarterly Reporting Standards
- ILPA Fee Template
- ILPA DDQ
- ILPA Principles 3.0
